TARKINE AFFILIATE PROGRAM TERMS AND CONDITIONS

1. Introduction and Acceptance
These Terms and Conditions ("Agreement") govern your participation in the Tarkine Affiliate Program ("Program"). By enrolling in the Program, you ("Affiliate", "you", or "your") agree to be bound by this Agreement with Tarkine Pty Ltd ("Tarkine", "we", "us", or "our"). We reserve the right to modify these terms at any time. Continued participation constitutes acceptance of any modifications.
2. Program Overview
The Tarkine Affiliate Program allows approved participants to earn commissions by referring genuine new customers to tarkine.com through legitimate marketing activities. This Program is designed to reward affiliates who add authentic value by introducing Tarkine to audiences who would not otherwise have discovered our brand.
3. Prohibited Marketing Practices
The following activities are strictly prohibited and constitute grounds for immediate termination and forfeiture of all unpaid commissions:
3.1 Paid Search and Brand Bidding
a)    Bidding on any Tarkine branded keywords, including but not limited to: "Tarkine", "Tarkine shoes", "Tarkine running", "Tarkine Australia", or any misspellings, variations, or derivatives thereof
b)    Bidding on any keywords that include Tarkine product names, collection names, or campaign slogans
c)    Running paid search campaigns on Google Ads, Microsoft Advertising (Bing), Yahoo, DuckDuckGo, or any other search engine that direct traffic through your affiliate link to tarkine.com
d)    Using display network remarketing or retargeting that targets users who have previously visited tarkine.com
e)    Any form of paid advertising on search engines that intercepts customers already seeking Tarkine products
3.2 Trademark and Brand Misuse
a)    Using "Tarkine" or any Tarkine trademark in your domain name, subdomain, or URL path
b)    Creating websites, landing pages, or social media accounts that could be confused with official Tarkine properties
c)    Registering domain names containing Tarkine trademarks or confusingly similar variations
d)    Implying official endorsement, partnership, or sponsorship by Tarkine without written authorization
3.3 Coupon and Deal Site Restrictions
a)    Posting affiliate codes on coupon aggregation websites (e.g., RetailMeNot, Honey, CouponCabin, OzBargain deal listings) without prior written approval
b)    Using browser extensions that automatically inject affiliate codes at checkout
c)    Intercepting transactions at the point of checkout through toolbars, extensions, or cookie stuffing
3.4 Spam and Deceptive Practices
a)    Sending unsolicited commercial email (spam) containing affiliate links
b)    Posting affiliate links in forums, comment sections, or social media without genuine engagement or context
c)    Using click farms, bots, or artificial traffic generation methods
d)    Cookie stuffing or any technique that places tracking cookies without user knowledge or consent
e)    Making false or misleading claims about Tarkine products, pricing, or availability
f)    Creating fake reviews or testimonials
3.5 Self Referral
a)    Using your own affiliate link or code for personal purchases
b)    Referring immediate family members or business associates in arrangements designed primarily to generate commissions rather than genuine referrals
4. Permitted Marketing Activities
We encourage affiliates to promote Tarkine through the following legitimate channels:
a)    Original content on your owned websites, blogs, or YouTube channels
b)    Authentic social media posts on your personal or business accounts (Instagram, TikTok, Facebook, X/Twitter, Strava, etc.)
c)    Email marketing to your own opt in subscriber list
d)    Podcast mentions and sponsorship integrations
e)    Running club recommendations and word of mouth referrals
f)    Paid social media advertising (Facebook Ads, Instagram Ads, TikTok Ads) that does not target users searching for Tarkine specifically
g)    Genuine product reviews based on personal experience
5. Commissions and Payment
5.1 Commission Structure
Commission rates, payment thresholds, and payment schedules are set forth in your affiliate dashboard and may be modified at our discretion with reasonable notice. Current commission rates do not guarantee future rates.
5.2 Commission Forfeiture
We reserve the right to withhold or reverse commissions if we determine, in our sole discretion, that the underlying transactions resulted from prohibited practices, fraudulent activity, or any violation of this Agreement. Commissions earned through brand bidding, paid search on Tarkine keywords, or any form of traffic interception will be automatically forfeited.
5.3 Refunds and Chargebacks
Commissions will be reversed for any order that is subsequently refunded, returned, or results in a chargeback.
6. Termination
6.1 Termination by Tarkine
We may terminate your participation in the Program immediately and without notice if you violate any provision of this Agreement. Violation of Section 3 (Prohibited Marketing Practices) constitutes grounds for immediate termination with forfeiture of all pending commissions.
6.2 Termination by Affiliate
You may terminate your participation at any time by providing written notice. Commissions earned through compliant activities prior to termination will be paid according to the standard payment schedule.
6.3 Effect of Termination
Upon termination, you must immediately cease using all Tarkine trademarks, remove all affiliate links, and discontinue any representation of affiliation with Tarkine.
7. Monitoring and Enforcement
We actively monitor affiliate traffic sources, referral patterns, and marketing activities. We use third party brand protection services and regularly audit search engine results for brand bidding violations. You agree that we may review your marketing methods and request documentation of traffic sources at any time. Failure to provide satisfactory documentation within seven (7) days of request may result in termination.
8. Indemnification
You agree to indemnify, defend, and hold harmless Tarkine, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your participation in the Program, your marketing activities, or any breach of this Agreement.
9. Limitation of Liability
Tarkine shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program. Our total liability shall not exceed the commissions actually paid to you in the twelve (12) months preceding any claim.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Western Australia, Australia. Any disputes arising from this Agreement shall be resolved in the courts of Western Australia.
11. Entire Agreement
This Agreement constitutes the entire agreement between you and Tarkine regarding the Program and supersedes all prior agreements, understandings, and communications. No modification of this Agreement shall be binding unless made in writing by Tarkine.
